TERMS & CONDITIONS - EVENTS

1. ABOUT THESE EVENT TERMS

These Event Terms & Conditions ("Event Terms") apply to individuals who register for, purchase a ticket for, receive an invitation to or attend an event organised or hosted by Good Investor Club ("Good Investor Club", "GIC", "we", "us" or "our").

Good Investor Club is operated by Spyentist Ltd, a company incorporated in England and Wales with company number 15776138.

By registering for, purchasing a ticket for or attending a Good Investor Club event, you agree to these Event Terms.

2. WHO THESE EVENT TERMS APPLY TO

These Event Terms apply whether you attend an event as:

  • a Good Investor Club member;

  • a ticket purchaser;

  • an invited guest;

  • a speaker or panellist;

  • a representative of an organisation; or

  • another approved attendee.

If you are a Good Investor Club member, these Event Terms apply in addition to the Good Investor Club Membership Terms & Conditions.

If there is a conflict between these Event Terms and the Membership Terms specifically in relation to attendance at an event, these Event Terms will apply to the extent of that conflict.

3. REGISTRATION AND ADMISSION

Attendance at a Good Investor Club event may require:

  • an invitation;

  • registration;

  • ticket purchase;

  • approval by Good Investor Club; or

  • compliance with particular eligibility requirements.

An invitation, registration or ticket purchase does not guarantee admission where we reasonably need to refuse or restrict attendance for reasons including:

  • venue capacity;

  • safety or security;

  • inaccurate or misleading registration information;

  • failure to comply with these Event Terms;

  • inappropriate conduct; or

  • circumstances in which attendance would reasonably undermine the nature or curation of the event.

We may operate waiting lists and may release places where registered attendees cancel.

4. PERSONAL TICKETS AND REGISTRATIONS

Unless we expressly state otherwise, event registrations and tickets are personal to the individual named in the registration.

You may not transfer, resell or assign a ticket or event place without our prior permission.

Where we permit a ticket to be transferred or a substitute attendee to attend, the substitute attendee must provide any information reasonably required by us and agree to these Event Terms.

5. EVENT CHANGES AND CANCELLATION

We may reasonably change an event's:

  • date;

  • time;

  • venue;

  • location;

  • speakers;

  • format;

  • programme;

  • menu; or

  • other operational details.

We may postpone or cancel an event where reasonably necessary.

If a paid event is cancelled by us, we will provide the remedy required by applicable law and may, depending on the circumstances, offer a refund, credit or transfer to a rescheduled event.

We are not responsible for travel, accommodation or other expenses incurred by you in connection with attending an event unless we expressly agree otherwise.

6. TICKET CANCELLATIONS AND REFUNDS

Cancellation and refund arrangements for a paid event may be specified on the relevant ticket or registration page.

Unless otherwise stated or required by applicable law, tickets may be non-refundable after purchase.

Nothing in these Event Terms limits any statutory cancellation or refund rights that cannot lawfully be excluded.

7. PROFESSIONAL CONDUCT

Good Investor Club events are intended to provide professional, respectful and curated environments.

All attendees must:

  • treat other attendees, venue staff and Good Investor Club representatives with respect;

  • comply with reasonable instructions from Good Investor Club and venue staff;

  • avoid harassment, discrimination, intimidation and abusive behaviour;

  • avoid conduct that materially disrupts the event;

  • provide accurate information when registering;

  • comply with applicable laws; and

  • respect reasonable expectations of privacy and confidentiality.

We may refuse admission to or remove an attendee from an event where reasonably necessary to protect other attendees, venue staff or the integrity of the event.

8. NO UNAUTHORISED PITCHING OR SOLICITATION

Unless expressly invited or authorised by Good Investor Club, attendees must not use an event primarily to:

  • make unsolicited sales pitches;

  • solicit investments;

  • market financial products or services;

  • distribute promotional materials; or

  • aggressively pursue commercial opportunities with other attendees.

This does not prevent genuine professional discussion or natural conversations about investment, business or professional matters.

9. CONFIDENTIALITY AND PRIVACY

Good Investor Club events may involve private discussions among investors, founders, investment professionals and other participants.

Unless we expressly state otherwise, attendees should treat non-public information shared by other participants in private discussions as confidential.

You must not:

  • record private discussions without permission;

  • secretly photograph or film participants;

  • publish information that identifies another attendee without their permission where there is a reasonable expectation of privacy; or

  • disclose information that you know, or reasonably should know, was shared in confidence.

Nothing in these Event Terms prevents disclosures required by law.

Attendees remain responsible for complying with their own professional, legal and contractual confidentiality obligations.

Specific events may be designated as private, off-the-record, subject to Chatham House Rule or subject to other confidentiality requirements. Additional event-specific rules may apply.

10. PHOTOGRAPHY, FILMING AND RECORDING

Photography, filming or other recording may take place at certain Good Investor Club events.

Where photography or filming is planned, we may notify attendees through the event invitation, registration process, joining instructions, signage at the event or otherwise.

Where appropriate, photographs or recordings may be used for legitimate Good Investor Club purposes, including:

  • event promotion;

  • editorial content;

  • website content;

  • social media; and

  • marketing.

Where you have concerns about being photographed or filmed, you should contact us before the event or speak to a member of the Good Investor Club team at the event.

We may take reasonable steps to accommodate such requests, but cannot guarantee that incidental capture of every attendee can be avoided.

You may not photograph, film or record other attendees in circumstances where doing so would breach their reasonable expectations of privacy or any specific event rules communicated by us.

11. NO INVESTMENT, FINANCIAL, TAX, LEGAL OR OTHER PROFESSIONAL ADVICE

Good Investor Club is an events and membership community.

Nothing communicated at a Good Investor Club event constitutes investment, financial, legal, tax or other professional advice from Good Investor Club.

Good Investor Club does not recommend, endorse or guarantee any investment, business, individual, fund, financial product or strategy discussed at an event.

You are solely responsible for your own investment and professional decisions and should obtain independent professional advice where appropriate.

12. NO OFFER OR SOLICITATION

Unless expressly stated otherwise by the relevant party and made in compliance with applicable law, participation in a Good Investor Club event does not constitute:

  • an offer to sell securities;

  • a solicitation of an offer to buy securities;

  • investment advice;

  • investment management services; or

  • a public offering or solicitation.

Each attendee is responsible for ensuring that their own statements, activities and communications comply with applicable laws and regulations.

13. RELATIONSHIPS AND TRANSACTIONS BETWEEN ATTENDEES

Any investment, commercial, professional or other relationship between attendees is entirely independent of Good Investor Club.

Good Investor Club is not responsible for:

  • the conduct or statements of attendees;

  • the accuracy of information provided by speakers or attendees;

  • investment decisions made by attendees;

  • transactions between attendees; or

  • losses arising from relationships or transactions formed through an event.

You should conduct your own due diligence before entering into an investment, transaction or professional relationship.

14. PRIVACY

Our collection and use of personal information in connection with events is governed by our Privacy Policy.

By registering for or attending an event, you acknowledge that we may process your personal information in accordance with that Privacy Policy.

15. LIABILITY

To the maximum extent permitted by applicable law, Good Investor Club and Spyentist Ltd are not liable for indirect, incidental, consequential or purely economic losses arising from attendance at an event.

Nothing in these Event Terms excludes or limits liability that cannot lawfully be excluded or limited.

16. FORCE MAJEURE

We will not be responsible for a delay, cancellation or failure to perform obligations where caused by circumstances reasonably beyond our reasonable control, including:

  • natural disasters;

  • war or civil unrest;

  • terrorism;

  • pandemics or public-health emergencies;

  • government restrictions;

  • transport disruption;

  • venue closures;

  • strikes;

  • severe weather; or

  • failures of third-party infrastructure.

17. CHANGES TO THESE EVENT TERMS

We may update these Event Terms from time to time.

Where we make material changes affecting an upcoming event, we will provide reasonable notice where practicable.

Updated Event Terms will apply from the effective date stated in the updated version, subject to applicable law.

18. GOVERNING LAW AND JURISDICTION

These Event Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation, including non-contractual disputes or claims, are governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Event Terms or their subject matter or formation, including non-contractual disputes or claims, except where applicable law requires otherwise.
